General Conditions of Use

Article 1 — Presentation of the Platform and the Publisher

The NexusTok application (hereinafter “the Platform”) is published by the company NexusTok, a Simplified Joint Stock Company (SAS) with share capital of €300, whose head office is located at 173 rue de Courcelles, 75017 Paris, France, registered in the Trade and Companies Register (RCS) under the number 103 737 623 00019 (hereinafter “the Company” or “NexusTok”). Contact: contact@nexus-tok.com Nexus is a SaaS (Software as a Service) platform called "NexusTok" allowing content creators (streamers) to connect their live broadcasts on TikTok (<span translate="no">TikTok Live</span>) to video games, in particular Minecraft and GTA V, to allow their viewers to interact in real time with the game through events such as gifts, comments, likes and subscriptions.

Article 2 — Acceptance of the General Conditions of Use

Access to the Platform and use of all or part of the services offered by NexusTok imply full, complete and unreserved acceptance of these General Conditions of Use (hereinafter “CGU”) by the User. By registering on the Platform or using the NexusTok software, the User acknowledges having read, understood and accepted these T&Cs, as well as the Confidentiality Policy and the applicable General Conditions of Sale. The Company reserves the right to modify these General Terms and Conditions at any time. The modifications come into force as soon as they are published on the Platform. The User will be informed by e-mail of any substantial modification. Continued use of the Service after notification constitutes acceptance of the new T&Cs.

Article 3 — Access to the Service

The NexusTok Platform is accessible only via its dedicated application (not accessible from a web browser). It includes: A dashboard integrated into the application, allowing the User to manage their account, subscription and event configurations. A Desktop client (Windows application, hereinafter “NexusTok”) to download and install on your personal computer, serving as a bridge between the dashboard and the video games. Game plugins/mods compatible with supported video games (native plugin Minecraft, mod ScriptHookV for GTA V). Access to the Service is conditional on the creation of a user account. The free tier (Starter) provides access to a limited set of features. Paid offers (Pro, Annual) are described in the General Conditions of Sale. The Company makes every effort to ensure the availability of the Service 24/7, but cannot guarantee uninterrupted availability. Interruptions may occur for reasons of maintenance, updates or technical incidents. The Company cannot be held responsible for any unavailability of the Service.

Article 4 — Registration and User Account

To access the Service, the User must create an account by providing a valid email address and setting a password. The User undertakes to provide accurate, complete and up-to-date information when registering. The User is solely responsible for the confidentiality of his connection identifiers. Any use of the Service made with their identifiers is deemed to be made by the User. In the event of loss, theft or unauthorized use of their identifiers, the User must immediately inform the Company at the address contact@nexus-tok.com. Each account is strictly personal and cannot be assigned, shared or transferred to a third party. The creation of multiple accounts by the same User for the purpose of circumventing the limitations of the free service is prohibited.

Article 5 — Description of the Service

NexusTok allows the streamer to associate events from his live TikTok with in-game actions according to a system of configurable triggers (hereinafter “Triggers). Non-exhaustive examples: sending a “Rose” gift by a spectator triggers the appearance of a zombie in the Minecraft part of the streamer. Connection to <span translate="no">TikTok Live</span> is carried out by reading the public feed associated with the creator's public TikTok pseudonym, without collecting or storing the User's TikTok password. NexusTok is neither affiliated with TikTok nor an official partner of ByteDance Ltd. The Service is provided “as is”. The Company undertakes to use reasonable efforts to maintain and improve the Service, but does not guarantee that it will be free of errors, bugs or interruptions.

Article 6 — User Obligations

By using the Platform, the User undertakes to: Use the Service in accordance with these T&Cs, the French and European legislation in force, as well as the regulations applicable in your country of residence. Respect the rights of third parties, in particular intellectual property rights. Do not use the Service for purposes that are illegal, fraudulent, defamatory, obscene or contrary to public order. Do not attempt to harm the proper functioning of the Platform, in particular by computer attacks, injections of malicious code or any other method of disruption. Keep your account information up to date. Comply with the conditions of use of TikTok and the video games to which the Service connects.

Article 7 — Minimum Age Required

Access to the Platform is strictly reserved for persons aged at least 13 years old. In accordance with the General Regulations on Data Protection (GDPR) and French legislation relating to the protection of minors online, people under the age of 16 must obtain prior authorization from their legal representative to use the Service. By registering, the User declares on their honor to be at least 13 years old and, if they are a minor, to have the authorization of their legal representative. The Company reserves the right to delete any account for which it is established that the holder does not meet this condition.

Article 8 — Prohibitions

The User is strictly prohibited from: Proreverse engineer, decompile, disassemble, copy or reproduce the NexusTok software or any element of the Platform, in whole or in part. Circumvent or attempt to circumvent the technical protection measures implemented by the Company. Use the Service to distribute malicious software (malware, ransomware, viruses, spyware or any other harmful code). Use the Service to harass, threaten, intimidate, or spam users, viewers, or third parties via Live Events. Use the Service to collect personal data from third parties for unauthorized purposes. Resell, sublicense or commercially exploit the Service without the express written permission of the Company. Create or use bots or automated scripts to fraudulently interact with the Service. Any breach of these prohibitions may result in the immediate suspension of the User's account, without notice or reimbursement, and, where applicable, legal proceedings.

Article 9 — Compliance with Third Party Services

The NexusTok Service interacts with third-party platforms and software. The User is solely responsible for compliance with the conditions of use of these third-party services, in particular: TikTok: The User undertakes to respect the Conditions of Use and the Community Guidelines of TikTok. If the User's TikTok account is suspended, banned or restricted by TikTok for any reason whatsoever, NexusTok cannot be held responsible and no refund will be granted as a result. Minecraft: The User must comply with the Mojang / Microsoft Terms of Use. NexusTok is designed for use on private servers or in single player mode. NexusTok declines all responsibility in the event of a ban or sanction on a third-party server. GTA V: The ScriptHookV mod is designed for use in single player mode (offline). Its use in GTA Online may violate Rockstar Games' terms and conditions and result in banning. NexusTok expressly disclaims any liability in the event of such sanction.

Article 10 — Prointellectual property

All elements constituting the NexusTok Platform (software, brands, logos, texts, graphics, interfaces, database, technical architecture, etc.) are the exclusive property of the Company NexusTok or are the subject of a license granted to the Company, and are protected by the provisions of the French Intellectual Property Code and by international conventions. Any reproduction, representation, modification, publication, adaptation or exploitation of all or part of the elements of the Platform, by any means and on any support whatsoever, is prohibited without the prior written authorization of the Company. The User retains ownership of the content he creates when using the Service (configurations of Triggers, etc.). By providing information on the Platform, it grants the Company a non-exclusive, worldwide and free license to use it solely for the purposes of operating the Service.

Article 11 — Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special or consequential damages arising out of the use or inability to use the Service, including loss of revenue, data, profits or business opportunities. The Company is not responsible for the content broadcast by the User during his TikTok lives, nor for the interactions generated by spectators. The Company is not a publisher of third-party video game content. The Company's liability, if it were to be incurred, would in any case be limited to the amount of the sums actually paid by the User for their subscription during the last 12 months preceding the occurrence of the damage.

Article 12 — Suspension and Termination of the Account

The Company reserves the right to suspend or terminate a User's account, without notice or compensation, in the event of: Violation of these T&Cs or applicable legislation. Fraudulent behavior or behavior that harms the interests of the Company or third parties. Non-payment of amounts due. Account inactivity for a period of 24 consecutive months. The User may terminate their account at any time by sending a request to contact@nexus-tok.com or directly from their dashboard. Termination takes effect at the end of the current subscription period. No prorated refund will be made unless otherwise provided in the General Terms and Conditions.

Article 13 — Modification of the T&Cs

The Company reserves the right to modify these General Terms and Conditions at any time. Any substantial modification will be notified to the User by e-mail to the address associated with their account, with notice of at least 15 days before the new provisions come into force. If the User does not accept the new T&Cs, he must stop using the Service and may terminate his account under the conditions provided for in Article 12. Continuing use of the Service after the date of entry into force of the new T&Cs constitutes acceptance of them.

Article 14 — Applicable Law and Competent Jurisdiction

These T&Cs are governed and interpreted in accordance with French law. In the event of a dispute relating to the interpretation, execution or termination of these T&Cs, the parties undertake to seek an amicable solution before any legal action. In the absence of an amicable agreement within 30 days from notification of the dispute by registered letter with acknowledgment of receipt, the dispute will be submitted to the competent French courts.
